These Terms of Service (“Terms”) govern your access to and use of Shopasgo’s websites, applications, and services, including phone-based email and SMS services (the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Services

Shopasgo provides online and phone-based virtual assistance services, including:

  • Phone-based access to email (including Gmail via authorized OAuth)

  • SMS and voice-based customer support

  • Account management and billing

  • Online assistance for lawful internet-based tasks

Shopasgo does not provide legal, medical, or financial advice and does not assist with illegal, fraudulent, or unethical activities.

2. Eligibility

You must:

  • Be at least 18 years old (or have parental/guardian consent)

  • Provide accurate and complete registration information

  • Use the Service only for lawful purposes

3. User Responsibilities

You agree to:

  • Comply with all applicable laws and regulations

  • Maintain confidentiality of your account credentials

  • Be responsible for all activity under your account

  • Refrain from abuse, harassment, exploitation, or misuse of the Service

  • Not attempt unauthorized access, reverse engineering, or system interference

4. Prohibited Activities

You may not:

  • Use the Service for illegal or unauthorized purposes

  • Transmit unlawful, abusive, defamatory, or obscene content

  • Disrupt Service operations or security

  • Reproduce, resell, or commercially exploit the Service without authorization

  • Attempt to access systems, data, or accounts not assigned to you

5. SMS Terms

By providing your phone number, you consent to receive SMS messages strictly for customer support purposes.

  • Message Types: Support inquiries and responses

  • Frequency: As needed based on your interactions

  • Charges: Message and data rates may apply

  • Help: Text HELP or email support@shopasgo.com

  • Opt-Out: Text STOP at any time

  • Privacy: Mobile opt-in data is not shared for marketing

6. Payments & Billing

  • Fees are disclosed before use

  • Charges may be usage-based (minutes, API calls, etc.)

  • Billing occurs monthly unless stated otherwise

  • Payments are processed via third-party providers

  • Failed payments may result in suspension or termination

Refunds

  • No refunds for services already provided

  • Requests must be submitted within 30 days

  • Approval is at Shopasgo’s discretion

7. Intellectual Property

All content, software, trademarks, and materials are owned by Shopasgo or its licensors and protected by intellectual property laws. No rights are granted except as expressly stated.

8. Third-Party Services

The Service integrates with third-party providers, including:

  • Google Gmail API

  • Twilio

  • Payment processors

Your use of these services is subject to their respective terms and policies. Shopasgo is not responsible for third-party failures or issues.

9. Service Availability

  • The Service is provided “as-is” and “as available”

  • No guarantee of uninterrupted or error-free operation

  • Maintenance or outages may occur

  • We target high availability but make no uptime guarantees

10. Security

We use industry-standard security measures; however:

  • No system is 100% secure

  • You are responsible for protecting your credentials

  • Notify us immediately of suspected security breaches

11. Data Backup & Loss

While we maintain system backups, we are not responsible for data loss. You are responsible for maintaining your own backups of important information.

12. Termination

We may suspend or terminate access:

  • For violation of these Terms

  • For non-payment

  • For illegal or abusive activity

  • At our discretion, with or without notice as permitted by law

Upon termination, access ceases immediately. Data retention follows our Privacy Policy.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPASGO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

15. Indemnification

You agree to indemnify and hold harmless Shopasgo, its officers, employees, and affiliates from any claims arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of law or third-party rights

16. Privacy

Your use of the Service is subject to our Privacy Policy:

We do not sell personal data.

17. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
